Terms of Service

1Acceptance
By accessing or using Warm Winter, you agree to these Terms of Service. If you do not agree, do not use the service.
2What the service does
Warm Winter helps small-business operators make sense of and make decisions about their business. It includes a probabilistic decision simulator — you define a scenario and it runs simulations to show a range of possible outcomes (an expected result, a better case, a worse case, and a tail-risk estimate) with a plain-English interpretation — and an AI-assisted “brain” that reads what you tell it in your own words and reflects back an understanding of your situation, a suggested priority, and a possible next step. Both are decision-support tools, governed by Section 3.
3Decision support only — not professional advice
Warm Winter’s outputs are probabilistic projections based on calibrated benchmarks. They are not predictions, guarantees, or assurances of any outcome.
The service is for informational and decision-support purposes only. It does not provide financial, investment, legal, tax, accounting, or other professional advice, and nothing it produces should be treated as such. Warm Winter is not a registered investment adviser or broker-dealer.
Some features use artificial intelligence to interpret what you write and generate suggestions. AI-generated output can be incomplete, mistaken, or inappropriate for your specific situation, and may misread the facts you provide. Treat it as the input of a thinking partner to weigh with your own judgment — never as a verified fact, an instruction, or professional advice.
You remain the decision-maker. Warm Winter informs decisions; it does not make them. You are solely responsible for the decisions you take, and you should consult qualified professionals before making significant business decisions.
4Eligibility
You must be at least 18 years old and able to form a binding contract to use Warm Winter. By registering, you confirm you meet these requirements.
5Your account
You are responsible for the accuracy of your account information and for keeping your password secure. You are responsible for activity under your account. Tell us promptly if you suspect unauthorized use.
6Acceptable use
You agree not to:
- use the service unlawfully or to harm others;
- attempt to breach, probe, or disrupt the service or its security;
- access the service through automated means except via interfaces we provide;
- misrepresent the service’s outputs as guarantees or as professional advice to third parties.
7Your data and content
You keep ownership of the business metrics and content you enter. You grant us the limited rights needed to operate the service for you and to improve it as described in our Privacy Policy (including the use of anonymized data). How we handle your data is governed by the Privacy Policy.
8Service provided “as is”
The service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that outputs will be accurate, complete, or suitable for any particular decision.
9Limitation of liability
To the fullest extent permitted by law, Warm Winter and its owners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenues, business, or data, arising out of or relating to your use of — or reliance on — the service or its outputs, even if advised of the possibility.
Our total liability for any claim relating to the service is limited to the greater of the amount you paid us for the service in the twelve months before the claim, or US $100.
Some jurisdictions do not allow certain limitations; in those places, the limitations apply to the maximum extent permitted.
10Indemnification
You agree to indemnify and hold Warm Winter harmless from claims arising out of your misuse of the service or your violation of these terms.
11Termination
You may stop using and delete your account at any time. We may suspend or terminate access if you violate these terms or to protect the service. The disclaimers and limitations above survive termination.
12Governing law
These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Wyoming.
To the fullest extent permitted by law, any dispute will be brought only in your individual capacity, and not as a plaintiff or class member in any class or representative action.
13Changes
We may update these terms. If we make a material change, we will update the effective date above and, where required, notify you. Continued use after a change means you accept the updated terms.
